1. Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and AmazeOps. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service. Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions.

2. Agency Services

AmazeOps provides e-commerce management, marketplace optimization, and consulting services ("Services"). The specific scope of work, deliverables, and fees will be outlined in a separate Master Service Agreement (MSA) or Statement of Work (SOW) signed by both parties.

• We act as an authorized agent managing your seller accounts, but you retain full ownership of those accounts and the revenue generated.
• You agree to provide timely access to necessary platforms (Amazon Seller Central, Shopify, TikTok Shop Center, etc.) to allow us to perform our duties.
• We do not guarantee specific sales quotas or algorithm rankings, as third-party marketplaces operate independently.

3. Intellectual Property

The Website and its original content, features, and functionality are and will remain the exclusive property of AmazeOps and its licensors. Any custom assets, copy, or graphics created for Your brand during the course of our Services belong to You upon full payment of associated invoices.

4. Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service during the previous three months.

To the maximum extent permitted by applicable law, in no event shall AmazeOps or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, business interruption, or loss of marketplace account status).

5. Termination

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions. Contracted agency services may be terminated according to the clauses set forth in your individual Master Service Agreement.

6. Governing Law

The laws of the jurisdiction in which AmazeOps operates, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service.

7. Changes to These Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect.
